Faulding faces share swap bid

Australian Mayne Nickless is to enter pharmaceutical distribution and drugs manufacturing with a surprise A$2bn share-swap bid for F.H. Faulding, but suffered a setback when Faulding shares unexpectedly rose 20%, 8% higher than the bid.

Under a complex, two-tier offer, Mayne is offering 1.864 of its shares for each Faulding share or 1.972 Mayne shares if Faulding sells its Oral Pharmaceuticals business for at least A$ 1.08 billion (US$550 m), on an after-tax basis.

Faulding's main businesses are oral and injectable pharmaceuticals, consumer-health products, the provision of distribution and retail management services to pharmacies, and logistics management services to hospitals. Its brands include Banana Boat, Banta, Betadine, Bio-Organics, Cenovis, Golden Glow, Nature's Own, Natural Nutrition and Pental.
